1. Overview
Blade Company Ltd. (“Blade Company”, “we”, “our”, “us”) is a Cameroon-based cross-border payments and financial services company that enables businesses and individuals to send and receive international payments efficiently, securely, and in compliance with local and international regulations.
We specialise in facilitating trade settlements and inbound remittance flows across African markets. Our technology-driven platform provides importers, exporters, and consumers in countries such as Cameroon, Côte d’Ivoire, Nigeria, and others with a faster, more cost-effective alternative to traditional banks and informal money transfer channels.
Blade Company offers the following services:

International B2B payments for goods and services

Trade settlement solutions for importers and exporters

Inbound remittances from the diaspora

Local currency payouts and FX conversion services

Web and mobile access for transaction management and real-time tracking
These Terms govern your use of Blade Company’s platform, websites, mobile applications, software, and related services (the “Service”). Depending on your location, additional legal terms may apply, as outlined in the Regional Addenda at the end of this Agreement.
Your use of the Service is also subject to the Arbitration & Dispute Resolution clauses described in Section 7. Please read them carefully.
2. Use of the Service
Grant of Licence
You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Service under these Terms and any applicable third-party requirements. Blade Company reserves all rights not explicitly granted.
Permitted Uses
You may use the Service to:

Send and receive payments

Conduct trade-related transactions

Receive remittances
-
Manage business or personal financial transfers
All use must comply with applicable laws, including AML/CTF and trade regulations.
Prohibited Uses
You may not:

Use the Service for illegal, fraudulent, or unauthorised transactions

Sell, sublicense, or redistribute access to the Service

Modify, reverse-engineer, or interfere with the Service
-
Use the Service to build or support a competing financial product or service

Violate any sanctions laws, AML/CTF regulations, or data-protection rules
Modification & Termination
We may modify, suspend, or discontinue any part of the Service at any time.
We may also terminate or restrict your access if you violate these Terms.
Your exclusive remedy if dissatisfied with the Service is to stop using it.
3. Account & Identity Verification
Eligibility
You must be at least 18 years old to use the Service.
Verification Requirements
To comply with Cameroonian and international regulatory obligations—including AML, CTF, and KYC regulations—Blade Company may request personal, financial, and business information such as:

Valid identification documents

Proof of address

Business registration documents (where applicable)
Failure to provide accurate information may result in restricted or terminated access.
User Responsibility
You are responsible for:

Maintaining the security of your account

Protecting your passwords and credentials

Notifying us immediately of any unauthorised account activity
4. Fees & Taxes
Applicable fees for Blade Company services are published at:

You are responsible for all applicable taxes in your jurisdiction, including:

VAT

Sales tax
-
Duties and levies imposed by government authorities
5. Intellectual Property
Blade Company and its licensors own all intellectual property rights in:

The platform and software
-
Logos, trademarks, and branding
-
Content, features, and technologies
Nothing in this Agreement grants you ownership rights.
User Content
By uploading or submitting content through the Service, you grant Blade Company a worldwide, royalty-free, perpetual licence to use, modify, store, and distribute such content for operational or compliance purposes.
6. Disclaimers & Limitations of Liability
The Service is provided “as is” and “as available.”
We do not guarantee uninterrupted access, accuracy, or performance.
To the fullest extent allowed by law:

Blade Company disclaims all express and implied warranties

Our total liability to you is limited to the greater of:
USD $100, or the total fees you paid during the past 12 months
We are not liable for:

Loss of profits
-
Loss of data
-
Business interruption
-
Indirect, incidental, or consequential damages
7. Dispute Resolution
We encourage users to resolve disputes with us amicably.
Where no local dispute process applies, these Terms are governed by the laws of the Republic of Cameroon.
Unresolved disputes may be resolved through:

Binding arbitration (where applicable), or

The competent courts of Cameroon
You agree not to participate in:

Class actions

Class arbitrations

Jury trials (in jurisdictions where applicable)

8. Privacy
Our Privacy Policy explains how Blade Company collects, uses, stores, and protects your data.
By using the Service, you consent to our data-handling practices as outlined therein.

10. Regional Addenda
These Addenda supplement the general Terms & Conditions for specific jurisdictions.

Addendum A – Cameroon (Primary Jurisdiction)

Disputes: Resolved in Cameroonian courts or arbitration bodies
Addendum B – Côte d’Ivoire

Governing Law: Ivorian commercial and financial regulations

Compliance: Mandatory adherence to local AML/CTF rules

KYC: Identity documents required under BCEAO standards

Sanctions Screening: Screening against BCEAO, UN, and FATF sanctions lists

Data Protection: Governed by Côte d’Ivoire data-protection laws

Disputes: Resolved in Ivorian courts
Addendum C – Nigeria

Governing Law: Laws of the Federal Republic of Nigeria

Compliance: Users must comply with CBN rules, AML/CTF laws, and NFIU reporting

KYC: Valid identification and business documents required

Sanctions Screening: Screening against Nigerian and international lists

Data Protection: Nigerian Data Protection Act applies

Disputes: Resolved in Nigerian courts
Addendum D – United States

Arbitration: Binding arbitration under the FAA, administered by AAA

Addendum E – European Union

Governing Law: Laws of the EU Member State where services are provided

Consumer Rights: 14-day withdrawal right unless service has already been rendered

ODR Platform: EU users may file disputes through the EU Online Dispute Resolution portal
